A Conveyance of the land tinted pink on the title plan and other land dated 16 October 1913 made between (1) William Samuel Hodgson and others (Vendors) and (2) The Grange Urban District Council contains the following covenants:- "the Council thereby covenanted with the Vendors that the Council would not permit the said messuage and hereditaments therebefore described and thereby conveyed or any building then or thereafter to be erected thereon to be used at any time thereafter for the sale of excisable liquors by retail and will not at any time thereafter carry on upon the said hereditaments or any part thereof or on any building erected or thereafter to be erected thereon the trades of a Draper Hosier Milliner Fancy Repositer or Ladies or Gentlemen's Outfitter." A Transfer of the land edged blue on the title plan dated 28 August 1997 made between (1) South Lakeland District Council (Transferor) and (2) McCarthy & Stone (Developments) Limited (Transferee) contains the following covenants:- "The Transferee hereby covenants with the Transferor so as to bind the Property and each and every part thereof that the Property shall only be used for sheltered housing for the elderly and as a Health Centre substantially in accordance with the design shown on the attached plan SK/313/02 and will not be used for any other purpose whatsoever PROVIDED THAT in the event that the area to be used a Health Centre ceases to be used as a Health Centre for any reason or the proposed Lease of the Health Centre referred to in clause 6 of this Transfer is not granted then the whole of the Property shall only be used for sheltered housing for the elderly 6. It is hereby agreed and declared between the Transferor and the Transferee as follows:- 6.1 Immediately on completion of the development of the Property the Transferee shall offer to grant to the National Health Service Trust for the Grange-over-Sands area ("the Trust") a Lease ("Lease") of such part of the Property as constitutes the Health Centre on the terms and conditions set out in the attached Appendix and in the event of the Trust accepting such offer within a reasonable period the Transferee agrees to grant the Lease to the Trust as quickly as reasonably practicable thereafter 6.2 The Transferee will only be at liberty to determine the Lease if:- 6.2.1 The Trust wish to surrender the Lease prior to the date of legal termination and 6.2.2 The Transferor has given its consent in writing to the determination of the Lease or 6.2.3 In the event that the Trust wishes to continue with a Health Centre in the Grange-over-Sands area the Transferee (at its sole expense) provides an alternative Health Centre site on such land and of such specification (not being less than that presently to be supplied) as shall be agreed between the Transferee and the Trust such alternative Health Certificate to be made available to the Trust on substantially the same terms and conditions as contained in the Lease and only determine in such cases where the provisions set out in this Clause have been complied with" NOTE 1: The Appendix referred to in Clause 6 does not necessitate additional entries on the register NOTE 2: Copy plan filed. |
