A Transfer of the freehold estate in the land in this title and other land dated 7 February 2000 made between (1) The Secretary of State for Health (Transferor) and (2) Bellway Homes Limited (Transferee) contains the following covenants:- "The Transferee hereby covenants with the Transferor to the intent that the burden of these covenants may run with the Property and every part into whoever's hands the same may come and to the intent that the benefit of these covenants may be annexed to and run with the Transferor's Retained Land and every part (but not so as to be personally liable for any breach or breaches of sub-clauses 2, 3 and 4 arising after the Transferee has parted with all interest in the Property or the part on which the breach occurs) as follows: ......................................................................... 2. Not to use or permit or suffer the Red Land to be used for any purpose other than as a housing estate 3. Not to cause permit or suffer any of the Service Media serving the Transferor's Retained Land to be damaged interferred with or connected into by any person ......................................................................... 5. Not within 15 years of the date of this deed to transfer or otherwise dispose of the whole or any part of its interest in the Red Land save under the circumstances set out in sub-clause 1 above without first procuring that on completion of the transfer or other disposal the person to whom the transfer or other disposal is made (in this sub-clause only referred to as "the Successor") enters into a deed containing covenants in favour of the Transferor in similar terms to those contained in sub-clauses 1 to 4 (inclusive) of the positive covenant below naming the Successor instead of the Transferee and a provision identical to this sub-clause but naming the Successor instead of the Transferee and a provision identical to this sub-clause but naming the Successor instead of the Transferee and a legal charge in similar terms to the Legal Charge but naming the Successor instead of the Transferee 5.1 Provided that this sub-clause shall not apply to 5.1.1 any transfer or other disposal of any individual residential unit which is constructed on the Red Land (up to a maximum of 112 residential units) to a person whom the Transferee reasonably believes intends to use the same as a residence subject to the Transferee previously providing the Transferor with a certificate of such reasonable belief signed on the Transferee's behalf and a copy of the contract of sale relating to such individual residential unit which is certified to be true by the Transferee's solicitor 5.1.2 any land at the Red Land which is required to be transferred to a supplier of gas water electricity telecommunications or drainage services in order that such service may be supplied to any other part of the Red Land subject to the Transferee previously supplying to the Transferor reasonable evidence of the requirement for such transfer 5.1.3 any land at the Red Land which is required to be transferred to a local authority for the purposes of public open space a public highway or otherwise for the purposes of the local authority's statutory functions subject to the Transferee previously supplying to the Transferor reasonable evidence of the requirement for the transfer 5.2 Provided also that if the Transferee complies with its obligations pursuant to this sub-clause 5 the Transferor shall release the Transferee from sub-clauses 1 to 4 above insofar as they have not already been performed and insofar as the Successor has covenanted to perform a similar obligation The Transferee hereby covenants with the Transferor with the object and intent of affording the Transferor and his successors in office a full and sufficient indemnity but not further or otherwise that the Transferee will at all times hereafter duly observe and perform the agreements declarations obligations covenants conditions exceptions reservations and restrictions contained mentioned or referred to in the deeds and documents referred to in this deed and any deeds or documents mentioned therein including without prejudice to the generality of the foregoing the 1999 Planning Agreement so far as the same relate to the Property and are now subsisting and capable of being enforced and will at all times keep the Transferor and his successors in office effectually indemnified from and against all actions proceedings costs charges claims and demands whatsoever in respect thereof." NOTE: The 'Red Land' referred to above includes the land in this title. A Transfer of the freehold estate in the land in this title dated 1 August 2001 made between (1) Bellway Homes Limited and (2) Palatine Home Ownership Limited contains restrictive covenants.
